Corporate Governance Officer

The Board of Directors resolved on March 26, 2020, to appoint Ms. Chen Hsien-Ling, Manager of the Finance Department, as the Corporate Governance Officer in accordance with the “Guidelines for the Establishment and Exercise of Powers of the Board of Directors of Listed Companies.” Ms. Chen has over 10 years of experience in finance and management related to publicly listed companies.

The responsibilities of the Corporate Governance Officer include handling matters related to the meetings of the Board of Directors and shareholders in accordance with the law, preparing minutes of the Board of Directors and shareholders meetings, assisting directors and supervisors in taking office and continuing education, providing information required by directors and supervisors to perform their duties, and assisting directors and supervisors in complying with laws and regulations.

 

The duties performed by the Corporate Governance Office in 2024 are as follows: 

  1. Handling matters related to the shareholders’ meeting, Board of Directors, Audit Committee, Remuneration Committee, Risk Management Committee, and other functional committees in accordance with the law.
  2. Preparing minutes of the Board of Directors, Audit Committee, Remuneration Committee, Risk Management Committee, and shareholders meetings.
  3. Assisting directors in taking office and continuing education.
  4. Providing information required by directors to perform their duties.
  5. Assisting directors in complying with laws and regulations.
  6. Other matters stipulated by the company’s articles of association or contracts.
  7. Conducting performance evaluations of the Board of Directors and various functional committees.
  8. Reviewing and discussing the evaluation indicators of corporate governance evaluations.
  9. Announcing relevant information on the Market Observation Post System.
